Congratulations to our client, Universal Field Robots (UFR) who has now signed an agreement to be acquired by Sandvik, a global leader in mining and rock solutions.
The acquisition will see UFR integrated into Sandvik’s Digital Mining Technologies division, enhancing their leading mining automation platform - AutoMine®. Using UFR’s agnostic robotic and autonomous solutions for trucks, loaders and auxiliary equipment, the move will enable Sandvik to offer wider capabilities to customers, optimising performance of their mining fleets across various equipment types.
The HopgoodGanim cross-sector team who advised on this transaction was led by Sarah Judge from our Private Enterprise practice, who undertook due diligence, preparing transaction documents and the negotiation of the commercial agreement. Additionally, Hayden Delaney and Brett Nelson from our Intellectual Property, Technology and Cyber Security practice, managed the IP due diligence and IP strategy for the acquisition, including in respect of the client’s patent portfolio.
Throughout the transaction we enjoyed the opportunity to again work with our BDO colleagues, Scott Birkett and Sarah Paterson, as well as Garth Kerr at Crestbridge Solutions.
This acquisition showcases our strength across the Technology and Digital Economy and Energy, Renewables and Mining sectors and we congratulate UFR and Sandvik who are paving the way in the mining tech space.
We look forward to the transaction being finalised in Q4 of 2024.
