Congratulations to our client Dragon Mining Limited (HKEX: 1712) (Dragon) on the completion of its successful redomicile transaction, undertaken to change the parent company of its corporate group from an Australian-incorporated company to a Hong Kong-incorporated entity. The redomicile was accomplished by way of an Australian scheme of arrangement (Scheme).
Dragon is an established Nordic gold producer with a portfolio of operating mines and development projects across Sweden and Finland.
Following implementation of the Scheme on 2 September 2026, Dragon's listing on the Hong Kong Stock Exchange was withdrawn, and Dragon Gold Mining Limited (the new Hong Kong-incorporated parent company) was simultaneously listed on the Hong Kong Stock Exchange under Dragon's existing stock code, 1712.
The HopgoodGanim team was led by Corporate and M&A Partner Robyn Ferguson, supported by Consultant Nino Odorisio, Senior Associate Lily Robinson and Solicitor Jack O'Connor, who advised on all Australian legal aspects of the transaction.
"We are proud to have advised Dragon on this significant corporate transaction. The successful implementation of the Scheme reflects the considerable work undertaken by the Dragon team, including its legal and tax advisers in Hong Kong, Finland, Sweden and Australia, and we are pleased to have played a role in achieving this excellent outcome," said Robyn Ferguson.
