HopgoodGanim Lawyers is proud to have advised Entag, a Queensland-based leader in enterprise technology services, on its strategic partnership with Anchorage Capital Partners (ACP). This transaction marks a pivotal moment in the evolution of Australia’s IT services landscape, bringing together Entag and Rubicon8, two complementary providers with deep technical capability and strong customer relationships, to form a national platform for IT services.

Under the agreement, ACP and Entag will jointly acquire 100% of Rubicon8, a Victorian-based managed services and cybersecurity provider. ACP will also invest into Entag, supporting its strategic growth and broader expansion across Australia. This partnership is designed to accelerate innovation, enhance service delivery, and unlock new opportunities for customers, partners, and employees across both organisations.

The HopgoodGanim team was led by Special Counsel, Sarah Judge and Associate, Grace Baty, with support from across the firm, including our Intellectual Property, Technology and Cyber Security team and our Workplace and Employment team. HopgoodGanim ran the investment transaction between ACP and Entag, whilst simultaneously managing the acquisition of Rubicon8, including undertaking due diligence and providing advice on structuring and sale documentation.

“The strategic partnership with ACP and acquisition of Rubicon8 will provide a platform that creates further opportunity for our customers, people and our solutions. We are underpinned by great customers, people and Partners and the current transaction will position us strongly for growth over the coming years. The support from Sarah and HopgoodGanim was integral in executing a technical and sophisticated process and we’re grateful for having them in our corner,” said Entag CFO, Damien Hicks.

We were pleased to work alongside BDO’s Deal Advisory team including Gemma Lynam and Sarah Cassidy, who provided advice with the financial and tax due diligence, sale documentation, transaction structuring and tax advice.

HopgoodGanim congratulates Entag and ACP on the successful transaction and looks forward to continuing our partnership supporting Entag and their ongoing growth in the Australian technology sector.
