Alina has experience in corporate advisory matters, commercial and securities issues. Alina advises clients on corporate governance, mergers and acquisitions, capital raisings, IPOs (including matters relating to the Corporations Act) and ASX listing rules.

Alina holds qualifications in Commerce (with Honours) from the University of Ottawa, Canada, and Juris Doctor from the University of Western Ontario, Canada. She is admitted to practice in Western Australia and Ontario, Canada.

Areas of Practice

  • Drafting, reviewing and revising corporate, commercial and securities documentation for clients including within the resources and energy industry.
  • Acting for clients on issues relating to debt and equity raisings, including the drafting of documentation relating to prospectuses, subscription agreements, term sheets, share purchase agreements, convertible security agreements and warrants, ensuring compliance, and drafting press releases.
  • Acting on various transactions in relation to the sale of mining properties, due diligence, share split and consolidation, annual general and special meetings, and related documentation.
  • Acting for clients requiring documentation for IPOs on international stock exchanges, such as the Toronto Stock Exchange, the TSX Venture Exchange and the Canadian National Stock Exchange.
  • Drafting corporate documents relating to share compensation plans, stock option plans, option agreements, settlement agreements and mining documents such as technical reports, acquisition agreements, royalty and option agreements and related public statements.
  • Acting on multi-million dollar private placement matters, including the drafting, reviewing and revising of applicable agreements.
  • Acting on asset purchases and share purchases, including drafting share purchase agreements and transfer agreements, as well as ensuring compliance with applicable corporate and securities laws.
  • Acting for entertainment entities in relation to drafting distribution agreements, artist agreements, producer agreements and management agreements.
