Josh hails from the Canadian city of Calgary, where he worked for one of Canada's leading energy-focused law firms advising companies in the oil and gas, mining and power industries on a wide range of commercial legal issues. His experience includes negotiating and drafting joint venture and partnership agreements, construction and general commercial contracts, and acquisition agreements.
At HopgoodGanim, Josh's focus is working with clients of the firm who are undertaking projects in Canada, and with Canadian companies.
Specific Experience
- Advising Swan Hills Synfuels on the engineering, construction and services agreements and contracts for the construction of a CAD $400 million coal gasification plant.
- Advising EOG Resources Canada on the acquisition of working interest in a proposed LNG facility, with a value of approximately CAD $3 billion.
- Advising ATCO Power on power purchase arrangements, legal and commercial disputes, settlement negotiations and service agreements.
- Advising Integrated Production Services on general corporate legal issues, contracts and agreements.
- Advising Spectra Energy on the construction of a natural gas pipeline, including drafting and negotiating a camp services contract worth CAD $18 million.
- Advising MGM Energy Corp on the acquisition of oil and gas assets worth CAD $170 million from EnCana Corporation.
- Advising Esprit Energy Trust on the CAD $6 billion merger of Esprit Energy Trust and Pengrowth Energy Trust, including managing due diligence, reviewing all material agreements and preparing the due diligence report.
- Advising ConocoPhillips on the creation of an oil sands joint venture worth CAD $15 billion, including reviewing all material contracts, participating in the oil and gas title review and assisting in the preparation of the due diligence report.
- Advising Dana Gas (UAE) on the CAD $1.14 billion takeover of Centurion Energy International, including conducting a full due diligence review and assisting in the preparation of due diligence report.
