Gavin is a Senior Associate in HopgoodGanim's Resources and Energy team. He brings extensive international experience to his role, having worked in Australia, the UK, South East Asia and the Middle East for various law firms.
Gavin has in-depth experience in mergers and acquisitions, infrastructure development, general corporate and commercial matters, resources and major projects. He has successfully advised multinational clients on cross border mergers and acquisitions across a range of industries including financial services, power, automotive, transport, media and telecommunications, manufacturing and logistics. He also advises generally on restructuring and asset transfers.
Gavin holds a Bachelor of Laws from the Queensland University of Technology and a Masters in Laws from the University of London.
Specific Experience
- Advising the Ministry of Water and Electricity on its PPP and privatisation plan for the water and waste water industry in Riyadh, Saudi Arabia.
- Advising on the restructure of the leading water and power projects group in Saudi Arabia, and one of the leading water and power projects groups in the MENA region.
- Advising Saudi Oger, Baker Hughes and Fonterra Brands Middle East on their joint ventures disputes and their joint ventures generally.
- Advising the Macquarie Bank's joint venture with the Abu Dhabi Commercial Bank on the corporate structuring of all of its PPP infrastructure projects to develop the Industrial City of Abu Bhabi (ICAD), including wastewater and effluent, property and industrial manufacturing.
- Advising Macquarie Bank on the structure and management of its newly created infrastructure investment fund in the UAE.
- Advising a consortium of international bidders on all aspects of the bid to construct two water and waste water treatment plants in the UAE in relation to the concession granted from the Abu Dhabi Water and Electricity Authority (ADWEA).
- Advising Cable and Wireless Optus (Australia) on its public listing, including preparing the due diligence report and drafting the prospectus for distribution within Australia, and drafting the Offering Memorandum for distribution in the United States.
- Advising the Lazard Freres and Cycle and Carriage-led consortium on its completed US$506m purchase of a controlling interest in Astra International Tbk (Indonesia) from the Indonesian Bank Restructuring Agency (IBRA).
- Advising Siemens AG and PT. Siemens Indonesia on the debt restructure and resulting proposed acquisition and merger of PT. Dian Graha Elektrika, Siemen's distribution agent in Indonesia.
- Advising Electricite de France on its bid to acquire four co-generation facilities from PT. Asia Pulp and Paper Mills, Indonesia.
- Advising Sing Tel Optus on the launch of the Optus D series satellites. Concurrent negotiations were undertaken with several launch service providers. Gavin also advised on the tripartite agreement with Foxtel, involving the re-finance of the rollout of digital pay TV.
- Advising Rheinbraun AG on its bid to acquire strategic shareholding interests in three coal mining operations in Indonesia.
- Advising Duke Energy and Westcoast Power in the acquisition of two PT Freeport Indonesian coal fired cogeneration power plants (400MW).
- Advising Wesfarmers Transport on the acquisition, restructure and joint venture agreement with Coca-Cola Amatil in relation to its distribution in Indonesia.
- Advising Pioneer Australia on the acquisition of quarry mining interests in Indonesia.
- Advising SAir Group on the corporate restructure of Swiss Air Transport within Indonesia, and asset acquisition from Swiss Air Transport by AMC (United Kingdom).
- Advising the Stuart Energy Pipeline Project in Queensland on the drafting of its operation and joint venture agreements.
- Advising Rahji Steel on the negotiation and drafting of an EPC contract for the construction of a 140 million Euro combined bar and rod steel mill plant in Jeddah, Saudi Arabia.
- Advising GDF Suez International on the electricity and co-generation regulatory regime and new regulations introduced by the Electricity Cogeneration Regulatory Authority (ECRA) and opposition by the Saudi Electricity Authority.
